Corporate Law, Partnerships and Trusts
Our most recent Corporate Law Sibergramme,
by Prof Bob Williams, was issued on 18 December 2009, and covers the
following issues:
- A bizarre claim by a shareholder who had not yet paid for or taken transfer of his shares that the appointment of a new manager of the company amounted to a spoliation of his rights.
- Failure to give notice to the liquidator of a company of an intention to continue with legal proceedings against the company gives rise to an inference that those proceedings have been abandoned.
- The rule in Foss v Harbottle is put to the test: if a company suffers damage as a result of an unlawful act, can a shareholder sue the wrongdoer for the diminution in the value of his shares, or is the company the only proper plaintiff?
Corporate Law, Partnerships and Trusts Sibergramme will keep you informed of developments in the law, by commenting on:
- Court cases (Constitutional, Supreme Court of Appeal, and High Court) — surveyed or commented on, within weeks (sometimes days) of the judgment date.
- Legislation — explanation of amendments, with succinct commentary; principal Acts surveyed and referred to include the Companies Act, Close Corporation Act, Trust Property Control Act, Insolvency Act, and Income Tax Act.
- Literature (journal articles, textbooks, web sites etc) — where considered helpful to law practitioners and corporate legal advisors.
